Firm Overview

ExchangeBridge Capital Markets is a strategic advisory and transaction-support firm specializing in public-market access, reverse merger strategy, SPAC evaluation, OTC and NASDAQ acquisition opportunities, public-company due diligence, capital structure review, and transaction coordination.

The firm was established to bring discipline, transparency, and practical deal experience to a market that has historically been fragmented, opaque, and prone to misinformation. ExchangeBridge serves private companies, investors, family offices, acquisition groups, and public-company owners who are navigating complex public-market transactions.

Our approach is straightforward: before any serious buyer or company commits capital, a public-market transaction must answer fundamental questions about control, compliance, liabilities, capitalization, and economic fairness. ExchangeBridge helps clients ask — and answer — those questions before capital is committed.

Regulatory Position

ExchangeBridge Capital Markets operates as a strategic advisory and consulting firm. Our regulatory position is clearly defined and consistently observed in all engagements.

Not a Broker-Dealer

ExchangeBridge is not a registered broker-dealer under FINRA or the SEC. We do not execute trades, solicit purchases or sales of securities, or receive transaction-based compensation regulated under the Securities Exchange Act of 1934.

Not a Registered Investment Adviser

ExchangeBridge is not a registered investment adviser under the Investment Advisers Act of 1940. Nothing we provide constitutes investment advice, and we do not manage client assets or portfolios.

Not a Law Firm

ExchangeBridge does not provide legal advice of any kind. All engagements involving legal matters are coordinated with licensed securities attorneys, and all legal opinions are obtained from qualified legal counsel.

Not an Accounting Firm

ExchangeBridge does not provide accounting, audit, or tax services. All financial statement review and audit coordination is conducted alongside licensed CPAs and PCAOB-registered audit firms.

ExchangeBridge works alongside licensed professionals — attorneys, auditors, transfer agents, and broker-dealers — where their involvement is required. Our role is advisory and coordinating in nature.

Our Process

Every ExchangeBridge engagement follows a structured process designed to protect clients from the most common failure points in public-market transactions.

Initial Assessment. We begin every engagement with a review of the client's objectives, timeline, and resources. If a transaction is not realistic given those parameters, we say so at the outset — before any fees are incurred.

Vehicle or Target Identification. Depending on the engagement type, we identify and screen potential public vehicles, acquisition targets, or merger candidates using our proprietary research process and the ExchangeBridge DD Scorecard.

Due Diligence Coordination. We coordinate the review of SEC EDGAR filings, financial statements, capitalization tables, shareholder records, litigation history, and compliance status. We engage licensed professionals for legal, accounting, and audit-related work.

Transaction Structuring. We assist with transaction structure, timing, and coordination — connecting clients with the appropriate licensed professionals for execution. We do not execute transactions on behalf of clients.

Post-Transaction Support. Where applicable, we provide guidance on post-closing obligations, ongoing compliance, and capital structure management.
